Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the LifePath platform and services ("Services") provided by LifePath Solutions ("LifePath", "we", "us", or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Our Services are designed for disability support providers and the individuals they support. Please read these Terms carefully before using our platform.

2. Definitions

  • "Customer" means the disability service provider organisation that subscribes to our Services.
  • "User" means any individual who accesses the platform, including service users, staff, managers, and family members.
  • "Service User" means an individual with a disability who receives support from a Customer and uses the platform.
  • "Platform" means the LifePath web application and associated services.
  • "Personal Plan" means the digital support plan created and maintained through the Platform.

3. Account Registration

3.1 Invite-Only Access

Access to LifePath is by invitation only. There is no public self-registration. All user accounts are created by authorised administrators within a Customer organisation.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised access
  • Completing multi-factor authentication (MFA) setup as required

3.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4. Subscription and Payment

4.1 Subscription Plans

Access to LifePath requires a paid subscription. Subscription plans, features, and pricing are as set out in your order form or our pricing page at the time of purchase.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis as selected.
  • All fees are quoted and payable in Euros (€) unless otherwise agreed.
  • Payments are processed securely through Stripe. By providing payment information, you authorise us to charge your payment method.
  • You are responsible for any taxes applicable to your subscription.

4.3 Failed Payments

If a payment fails, we will notify you and attempt to process the payment again. Continued failure may result in suspension of access until payment is received.

4.4 Price Changes

We may change subscription prices with at least 30 days' notice before your next billing cycle. Continued use after a price change constitutes acceptance of the new price.

5. Cancellation and Refunds

5.1 Cancellation by Customer

  • You may cancel your subscription at any time through your account settings or by contacting us.
  • Cancellation takes effect at the end of your current billing period.
  • You will retain access to the Services until the end of your paid period.

5.2 Refunds

  • Annual subscriptions: Pro-rata refunds may be available within the first 30 days if you are not satisfied with the Services.
  • Monthly subscriptions: No refunds for partial months.
  • Refund requests should be sent to billing@lifepath.solutions.

5.3 Data After Cancellation

Upon cancellation, you may request an export of your data. We will retain data for a limited period in accordance with our Privacy Policy and applicable legal requirements, after which it will be securely deleted.

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Access or attempt to access accounts or data you are not authorised to access
  • Share login credentials or allow unauthorised access to your account
  • Upload malicious code, viruses, or harmful content
  • Interfere with or disrupt the Services or servers
  • Attempt to reverse engineer, decompile, or extract source code
  • Use the Services to harass, abuse, or harm others
  • Scrape, data mine, or extract data from the Services except as expressly permitted
  • Resell, sublicense, or commercially exploit the Services without authorisation

7. Customer Responsibilities

As a Customer organisation, you are responsible for:

  • Ensuring all Users within your organisation comply with these Terms
  • Obtaining appropriate consents from service users for data processing
  • Managing user access and permissions appropriately
  • Ensuring the accuracy of data entered into the platform
  • Complying with all applicable laws and regulations, including data protection laws
  • Training staff on appropriate use of the platform
  • Maintaining appropriate safeguarding policies and procedures

8. Intellectual Property

8.1 Our Intellectual Property

The Platform, including all software, designs, text, graphics, logos, and other content, is owned by LifePath Solutions and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Services during your subscription.

8.2 Your Content

You retain ownership of all data and content you upload to the Platform ("Your Content"). You grant us a licence to use Your Content solely to provide the Services to you.

8.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, we may use them without obligation to you.

9. Data Protection

Our processing of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement between LifePath and the Customer.

We comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws. We implement appropriate technical and organisational measures to protect personal data.

10. Service Availability

10.1 Availability Target

We aim to maintain 99.9% monthly uptime for the Services, excluding scheduled maintenance.

10.2 Maintenance

We may perform scheduled maintenance with advance notice where possible. Emergency maintenance may occur without notice when necessary for security or stability.

10.3 No Guarantee

While we strive for high availability, we do not guarantee uninterrupted access. We are not liable for any downtime or service interruptions.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be error-free, secure, or uninterrupted, or that any defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • LifePath shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for any claims arising from these Terms or the Services shall not exceed the fees paid by you in the 12 months preceding the claim.
  • These limitations apply regardless of the theory of liability (contract, tort, or otherwise).

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify and hold harmless LifePath and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

14. Termination

14.1 Termination by Us

We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay fees, or engage in conduct that we determine is harmful to us, other users, or third parties.

14.2 Effect of Termination

Upon termination, your right to use the Services ceases. Sections that by their nature should survive (including intellectual property, limitation of liability, and indemnification) will continue to apply.

15. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by email or through the Platform at least 30 days before they take effect. Continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of Ireland, without regard to conflict of law principles.

Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Ireland.

Before initiating legal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@lifepath.solutions.

17. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and LifePath.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We are not liable for failures or delays due to circumstances beyond our reasonable control.
